EXCHANGE OFFER FOR OPTION RIGHTS 2006B AND DISTRIBUTION OF STOCK OPTIONS 2009

EXCHANGE OFFER FOR OPTION RIGHTS 2006B AND DISTRIBUTION OF STOCK OPTIONS 2009   

The Board of Directors of Tecnomen Lifetree has decided to offer an exchange of 
the option rights 2006B to the option holders in such a manner that fifteen (15)
option rights 2006B of Tecnomen Lifetree can be exchanged into two (2) option   
rights 2009A of Tecnomen Lifetree. The exchange offer is directed to the stock  
option 2006B holders currently employed by Tecnomen Lifetree.                   

The time reserved for the approval of the exchange offer will end on 15th March 
2010. The option rights 2006B will remain in force to the extent not exchanged  
by the option holders.                                                          

In addition to the stock options 2009A subject to the exchange offer the Board  
of Directors of Tecnomen Lifetree has decided to allocate a total of 1 651 334  
stock options to the key employees of the company as follows:                   

           386 250 stock options 2009A                                          
           520 917 stock options 2009B and                                      
           744 167 stock options 2009C.                                         

Vesting of stock options 2009B and 2009C will partly be based on performance.   
The stock options form a part of the incentive and commitment programme for key 
personnel. Those stock options 2009 that are not distributed to key employees of
Tecnomen Lifetree are allocated to a wholly-owned subsidiary of Tecnomen        
Lifetree.                                                                       

Should the exchange be carried out in its entirety the number of all the        
distributed 2006 and 2009 options after the exchange will be a maximum of 4 203 
563 options with a corresponding dilution effect of 5.40 %.                     

Tecnomen Lifetree announced the issue of the stock options 2006 and stock       
options 2009 on 15 March 2006 and 19 March 2009, respectively. The terms and    
conditions of Tecnomen Lifetree Stock Options 2006 and 2009 are available on the
Company's internet pages www.tecnotree.com.
